Stockholm – iZafe Group (publ.) Announces today that it has delivered an additional 100 Dosell units to Apoteket AB in addition to deliveries of 130 units earlier in June. A total of 230 units were now delivered during the month of June to Apoteket AB.

This summer, iZafe will release a new feature in the Dosell app that makes it even easier to follow up on your own or relatives medication.

The latest update contained a bug that caused Dosell to restart from time to time. This has led to delays in deliveries, both of the consumer version and the corporate version, which has affected the municipalities' planned project starts of Dosell. As we approach the holiday season, most municipalities have chosen to postpone the introduction until after the summer.

Dosell's business unit manager, Henrik Windahl, has acquired 319,841 shares in the company.

Henrik Windahl, who recently began his employment as department manager for Dosell in iZafe Group's wholly owned subsidiary Dosell AB, has today acquired 319,941 Series B shares in the company to a value of SEK 163,534 (SEK 0.51 / pc).

The Board and management have for a long period developed iZafe Group's vision and strategy. We are now presenting it to shareholders and stakeholders to create an understanding of where iZafe Group is heading as a company.

Today, the company offers a product, Dosell, which is based on ensuring the right medicine at the right time via sachets. However, the importance of good adherence applies to more than those who receive medication via sachets. By broadening our offer from manual medicine management in the mobile app to a comprehensive offer that automates the entire flow with Dosell, iZafe Group becomes the company that helps everyone to take the right medicine at the right time.
 
Our new vision is therefore "health thanks to good adherence."
 
To achieve this, we will develop a comprehensive range of digital services and products that ensure that the right medicine is taken at the right time with the goal of being able to clearly show the health effects of adherence combined with values from other sensors:

  • Our app is the basis for all solutions that can be used together with Dosell, other devices or as a standalone service and should remind and ensure adherence regardless of whether the medicines are packaged in sachets, pill jars, injection, tablet, or in liquid form. It shall also keep statistics and possibly alert in the event of no medication. Alarms can reach the user as well as relatives and / or care staff.
  • Sorting in a container for medicines where we offer a smartly connected version that with the help of our app helps with sorting, reminders, statistics and alarms to selected people in case of missed medication.
  • Medicine in a sachet where we, with the help of Dosell, automate all aspects of the medication.

In this way, we get access to a large amount of data that will help us understand our customers, know when to offer the user products to ensure adherence, create opportunities for new collaborations and a basis for doctors regarding future care interventions or changes in medication.
 
Adherence data is also an important basis for pharmaceutical companies and other stakeholders conducting clinical studies. Therefore, these stakeholders are also a potential stakeholder for iZafe Group.

Linked to the new strategy, several changes are now being implemented within the organization. With the new direction that the company is taking, the board has agreed together with vice president and commercial director Tobias Johansson to go their separate ways.
 
iZafe Group has chosen to recruit Henrik Windahl as Business Unit Manager, who will start on May 30. Henrik's background and extensive experience in partner sales and business development will help to take the company's sales of Dosell to the levels needed to be able to take the next step in iZafe Group's development and success both nationally and internationally.

Årsstämman i iZafe Group AB, org. nr 556762–3391, ("Bolaget"), ägde rum torsdagen den 12 maj 2022 genom poströstning. Årsstämman beslutande, bland annat följande:

Fastställande av resultat- och balansräkning
Stämman fastställde resultat- och balansräkningen för moderbolaget och koncernen för räkenskapsåret 2021.

Utdelning
Stämman beslutade att ingen utdelning lämnas och att årets resultat balanseras i ny räkning.

Styrelse och revisor
Stämman beviljade styrelseledamöterna och verkställande direktören ansvarsfrihet för räkenskapsåret 2021.

Stämman beslutade att antalet styrelseledamöter ska bestå av fem (5) av stämman valda ordinarie ledamöter utan suppleanter och att antalet revisorer ska uppgå till en auktoriserad revisor utan suppleanter. Årsstämman beslutade om omval av styrelseledamöterna Joachim Källsholm, Bert-Olof Åhrström, Richard Wolff och Göran Hermansson samt om nyval av Carolin Wiken för tiden intill slutet av nästa årsstämma. Joachim Källsholm valdes till styrelseordförande. Den auktoriserade Revisorn Johan Kaijser omvaldes till Bolagets revisor för tiden intill nästa årsstämma.

Styrelse- och revisorsarvode
Stämman fastställde styrelsearvode med 144 900 kronor per år till styrelseordföranden och med 96 600 kronor per år till var och en av övriga av stämman utsedda ledamöter. Revisorn erhåller ersättning enligt löpande räkning.

Fastställande av instruktioner för valberedningen
Stämman beslutade om principer för tillsättandet av samt instruktion för valberedningens sammansättning inför årsstämman 2023. Valberedningen ska bestå av representanter för de till röstetalet tre (3) största aktieägarna per den sista handelsdagen i september, vilket för räkenskapsåret 2022 är den 30 september. Valberedningen ska inför årsstämman 2023 lägga fram förslag till stämmoordförande, kandidater till posten som styrelseordförande och andra styrelseledamöter samt revisor, arvoden till styrelse och revisor samt förslag till eventuella förändringar av valberedningens instruktion.

Ändring av bolagsordningen
Stämman beslutade om ändring av bolagsordningen på så sätt att aktiekapitalet ska uppgå till lägst 14 000 000 kronor och högst 56 000 000 kronor samt att styrelsen ska bestå av lägst 3 och högst 7 ledamöter och högst 5 suppleanter.

Beslut om justering av villkor för teckningsoptioner av serie TO10B
Stämman beslutade om justering av villkor för teckningsoptioner av serie TO1B. Justeringen innebär att villkoren förtydligas avseende om att teckning kan ske till en teckningskurs som lägst motsvarar aktiens kvotvärde.

Beslut om minskning av aktiekapital
Stämman beslutade att minska Bolagets aktiekapital med högst 56 699 446,40 kronor genom avsättning till fritt eget kapital. Minskningen ska genomföras utan indragning av aktier.

Bemyndigande för styrelsen att besluta om emissioner aktier, teckningsoptioner och konvertibler
Stämman beslutade att bemyndiga styrelsen att – vid ett eller flera tillfällen och längst intill nästkommande årsstämma – besluta om att öka Bolagets aktiekapital genom nyemission av aktier samt att emittera teckningsoptioner och konvertibler motsvarande högst tjugo (20) procent av det totala antalet utestående aktier i Bolaget vid den tidpunkt då styrelsen första gången utnyttjar bemyndigandet.

Nyemission av aktier, liksom emission av teckningsoptioner och konvertibler, ska kunna ske med eller utan avvikelse från aktieägarnas företrädesrätt samt med eller utan bestämmelse om apport, kvittning eller andra villkor. Enligt 16 kap. aktiebolagslagen äger styrelsen inte med stöd av detta bemyndigandet besluta om emissioner till styrelseledamöter i koncernen, anställda med flera.

Summary of financial performance

  • Net sales for the quarter amounted to SEK 376 (172) thousand. Sales for the quarter consist of revenues attributable to the sale of the digital medication robot Dosell.
  • Operating profit for the quarter amounted to SEK -6,984 (-7,219) thousand.
  • Profit after financial items for the quarter amounted to -7,032 (-8,891) TSEK.
  • Cash flow for the period amounted to SEK -6,987 (10,789) thousand. The positive cash flow for the comparison period is primarily a result of a short-term loan that was taken up.
  • Earnings per share for the quarter before / after dilution amounted to SEK -0.1 (-0.3).
  • Equity per share at the end of the period amounted to SEK 0.5 (0.6).
  • The equity/assets ratio at the end of the period was 80.8 (52.2) percent.

Important events in the quarter

  • The company produces and delivers 450 Dosell units to partners.
  • Dosell Consumer is marketed in campaigns in Sweden's largest TV channels.

Comments from the CEO

Our vision is to make it easier for people to take the right medicine at the right time, and therefore our business model is based on integrating our products and services with so-called welfare platforms. The purpose of integrating into welfare platforms is that our data should be combined with data from other sensors to demonstrate the health effects of the right use of medicine. We also want to simplify the introduction and use of digital aids to minimize the number of systems to work with.

I’ve been talking about entering the exciting part where the company has become ripe for a commercial phase with a substantial sale for a long time. During the first in the quarter of 2022, this has finally happened, and it is with pleasure that we are well on our way to achieve more extensive sales in all our markets and in both B2B and B2C channels.

B2B – from ensuring routines to broader sales in the Nordic region
From the time we finished Dosell 2.0 and our partners in the Nordic markets had time to undergo extensive testing to finally give their approval in the fourth quarter of last year, it is gratifying that the commercial phase has now begun. Together with our partners in Sweden and Norway in particular, we’ve now started to introduce our medication-dispensing robot in the municipalities that want to digitize and modernize healthcare with the help of a digital welfare platform and our Dosell.

This also takes time, but it is gratifying that we have now started the implementation with such a large number of municipalities as 14. The process is designed so that the municipality brings in a smaller number of Dosells to begin with to ensure all new processes and routines. During the implementation, we go through a checklist together to ensure that after one to three months all parts from the checklist are put in place. Once this is done and approved, the municipality can then introduce Dosell on a broader front with a larger number.

B2C – good results from TV advertising in Sweden and commercialization in Italy
To compensate for the lengthy processes for introducing Dosell in municipalities, we have launched our consumer version of Dosell in Sweden, which enables safe medical use for anyone who multi-medicates. It is clear that Dosell helps people of all ages and life situations, gives the relatives calmness and improves compliance. In order to spread the awareness of Dosell, we’ve invested heavily in TV advertising in Sweden to reach out widely to the target group. The TV campaign has been a success since it has increased the awareness for medicinal robots as a concept and increased the brand awareness for Dosell, and we have also seen that our business-to-business sales have profited from the marketing campaign.

In our second consumer market, Italy, our partner has created a team that actively works with sales to 20,000 pharmacies in Italy where Dosell is the final component of the overall Sempli Farma concept. In this concept, the user receives their medications packed in sachets directly in their local pharmacy, while compliance with the medication can be checked and statistics obtained.

Increased understanding of medication errors and future possibilities
In the beginning of April, our founder and Dosell's inventor Göran Sjönell visited TV4's morning program Malou Efter Tio, where Göran highlighted the problems of medication errors. In Europe, 200,000 people die annually as a result of poor compliance, which entails costs of €128 billion and, of course, great suffering for users and their relatives. It’s becoming obvious that in order to ensure quality healthcare and keep the citizens healthy for as long as possible at home, we need a society that digital aids are put in place.
 
In the future, we will also look at further solutions of how we can ensure safe medical use in other ways than just patients who have their medicine packaged on sachets. We still believe that sachets are the safest way to get their medications delivered, but we need to broaden our range to be able to help everyone who multi-medicates. In Europe, there are about 179 million people that takes minimum five prescription medications per year.

Reduced costs and increased sales
During the quarter, we reduced our costs while increasing sales compared to the previous quarter. We increased the number of customers with active subscriptions with 37 percent and we cut costs despite investments in TV campaigns and social media campaigns. During the quarter, we’ve further developed our product and we plan to develop our product offering continuously to ensure that we are at the forefront of the digitalization of medication. It’s in our strategy to first get proof of the concept in our home market and in the markets where we already have established partners, before expanding our business to further markets focusing on Europe. We see that the expansion is in relative proximity as we have started dialogues with interested partners in new markets.

In the first quarter of 2022, iZafe has continued to take important steps to realize our vision. In our B2B channel, we continued to build on the Nordic markets and our B2C sales are now available in both Sweden and Italy. With this strong base, we look forward to an exciting continued 2022.
