LTIP 2023 comprises three series of share options for the Company’s CEO, senior executives, and other employees. Participants are only offered the opportunity to acquire an equal number of share options from each series. LTIP 2023 includes a total of approximately 7.9 million share options, which collectively entitle the holders to subscribe for a maximum of about 13.18 million B-shares.

Each series of share options entitles the holder to subscribe for B-shares in the Company at the quota value of 0.20 Swedish Kronor per B-share, provided that a certain share price for the Company’s B-share on Nasdaq First North Growth Market (or another trading venue in case of a listing change) has been achieved as the average closing price for the ten trading days preceding the first day of exercising the share options.

The number of B-shares that each series entitles to subscribe, subscription period, and the Share Price Target for each series are outlined below. Other terms and conditions are specified in the document “Terms of share options series A-C.”

Each subscription option entitles the holder to subscribe for one (1) Class B share in the Company during the exercise period at a subscription price equivalent to 200 percent of the volume-weighted average price according to Nasdaq’s official price list for the shares during the 10 trading days immediately preceding the extraordinary general meeting. The subscription price is therefore 0.88 SEK. Subscription of shares with the support of the subscription options can be made from November 1, 2025, to November 30, 2025. Adjustment of the subscription price and the number of new shares to be subscribed for per subscription option may occur in cases specified in § 8 of the terms and conditions.

Each subscription option entitles the holder to subscribe for one (1) Class B share in the Company during the exercise period at a subscription price equivalent to 200 percent of the volume-weighted average price according to Nasdaq’s official price list for the shares during the 10 trading days immediately preceding the extraordinary general meeting. The subscription price is therefore 0.88 SEK. Subscription of shares with the support of the subscription options can be made from November 1, 2025, to November 30, 2025. The holder shall have the right to subscribe for one (1) new share during the period from February 23, 2023, to March 8, 2023, or until the earlier or later date that may follow from § 8 below. The subscription price for the exercise of the subscription options for subscription of shares shall amount to 70 percent of the volume-weighted average price of the Company’s Class B shares on Nasdaq First North Premier Growth Market during the period from February 9, 2023, to February 22, 2023, with a maximum subscription price of 0.3 SEK and a minimum of the share’s quota value. Adjustment of the subscription price and the number of new shares to be subscribed for per subscription option may occur in cases specified in § 8 below.

The holder shall have the right to subscribe for one (1) new share per subscription option. Subscription is made at a subscription price corresponding to 70 percent of the volume-weighted average payment price for the Company’s shares on Nasdaq First North Premier Growth Market during the period from September 12, 2022, to September 23, 2022, with a minimum of the share’s quota value and a maximum of 2.25 SEK. Adjustment of the subscription price and the number of new shares to be subscribed for per subscription option may occur in cases specified in § 8 of the terms and conditions. The subscription options entitle to subscription during the period from September 27, 2022, to October 11, 2022, or from and including the respective earlier date following from § 8 of the terms and conditions. The terms and conditions were subject to an update at the Company’s annual general meeting 2022 under item 14 in the notice and item 14 in the minutes of the meeting.

The sixth subscription period for series TO6 subscription options, issued by iZafe Group AB (publ) (“iZafe Group”), commenced on November 14, 2021, and ended on November 28, 2021. The holder shall have the right to subscribe for one Class B share in the company for each subscription option at an initial subscription price of 1.50 SEK. The subscription price is subject to adjustment conditions.

In connection with iZafe Group AB’s rights issue of units in November 2019, a total of 2,862,129 series TO8 B subscription options were issued.

Summary of Terms

• One (1) TO8 B subscription option entitles the holder to subscribe for one (1) new Class B share in iZafe during the period of December 4-18, 2020.
• The subscription price is 3.30 SEK per Class B share.
• The TO8 B subscription options have ISIN code SE0013409406 and are traded on NASDAQ First North Premier Growth until Wednesday, December 16, 2020.

Subscription Instructions

Nominee-registered holders (holding shares in a custody account, investment savings account, or insurance savings account) of TO8 B subscription options should notify their custodian of the exercise of subscription options and follow the custodian’s instructions regarding subscription and payment. This should be done well in advance of Wednesday, December 16, 2020, as different custodians have different processing times.

Direct-registered holders (holding shares in a VP account) of TO8 B subscription options should notify their exercise of subscription options by completing and submitting the subscription form for the exercise of iZafe’s TO8 B, so that it is received by the issuing institute, Hagberg & Aneborn Fondkommission, no later than Friday, December 18, 2020, at 15:00. Outcome and Delivery of New Shares

The outcome of the exercise of TO8 B subscription options will be announced via press release around Friday, December 18, 2020. Once the issuance has been registered with the Swedish Companies Registration Office and Euroclear, interim shares (IA) will be converted into ordinary shares and listed for trading on NASDAQ First North Premier Growth.
